CareNet, Inc. (Headquarters: Chiyoda-ku, Tokyo; President and Representative Director: Katsuhiro Fujii; hereinafter "the Company") hereby announces that it will conduct an absorption-type merger with its parent company, Curie1, Inc. (hereinafter "Curie1"), effective April 1, 2026, with Curie1 as the surviving company. On the same date, the surviving company will change its trade name to "CareNet, Inc."

As announced last year, the Company completed a tender offer (TOB) by the EQT Group and became its wholly-owned subsidiary. As part of the organizational restructuring following this TOB, we will merge with our parent company, Curie1, Inc., on April 1, 2026.

In this merger, Curie1, Inc. will absorb the Company as the surviving entity; however, effective the same day, the surviving entity will change its trade name to "CareNet, Inc." Therefore, there will be no changes to the Company's business operations or the structure and content of the services provided as a result of this integration.

However, please be advised that due to the integration of legal entities, our Corporate Number and Invoice Registration Number will change as follows.

1. Changes to Registration Numbers

Effective April 1, 2026, the various numbers associated with transactions with our company will change as follows. We apologize for any inconvenience this may cause and kindly request that you update your records accordingly.
