On April 1, 2026, CareNet, Inc. will merge with its parent company, Curie1 Co., Ltd. The surviving company will be renamed 'CareNet, Inc.' While business operations remain unchanged, the Corporate Number and Invoice Registration Number will be updated, requiring attention from business partners.

CareNet, Inc. (Headquarters: Chiyoda-ku, Tokyo; President and CEO: Katsuhiro Fujii; hereinafter 'the Company') announces that it will conduct an absorption-type merger effective April 1, 2026, with its parent company, Curie1 Co., Ltd. (hereinafter 'Curie1'), as the surviving company. On the same date, the surviving company's trade name will be changed to 'CareNet, Inc.'.
As announced last year, the Company has completed the tender offer (TOB) by the EQT Group and has become a wholly-owned subsidiary. Now, as part of the organizational restructuring following this TOB, the Company will merge with its parent company, Curie1 Co., Ltd., on April 1, 2026.
In this merger, Curie1 Co., Ltd. will be the surviving company that absorbs the Company. However, on the same day, the surviving company will change its trade name to 'CareNet, Inc.'. Therefore, there will be no changes to the Company's business operations or the structure and content of its provided services due to this integration.
However, with the integration of the corporate entities, the Corporate Number and Invoice Registration Number will change as follows. We kindly ask you to update your records.
1. Change of Various Registration Numbers
From April 1, 2026, the various numbers related to transactions with our company will change as follows. We apologize for the inconvenience and appreciate your cooperation in updating your information.
