Alfresa Holdings has decided to include its non-consolidated subsidiary, ArkMS Inc. (Headquarters: Toshima-ku, Tokyo; President: Akira Mizuo; hereinafter "ArkMS"), which conducts CRO*1 business, within the scope of consolidation. Details are as follows.
1. Reason for the Change in Subsidiary The Alfresa Group has positioned the Total Supply Chain Service (TSCS*5), which provides integrated support from the introduction, development, and manufacturing of pharmaceuticals to logistics, sales, post-marketing surveillance (PMS*4), and last-mile delivery, as a pillar of its business strategy in the "Alfresa Group Medium- to Long-Term Vision"*2 and the "25–27 Medium-Term Management Plan Vision2032 Stage2"*3.
We acquired all shares of ArkMS, which was established through a company split (incorporation-type company split) by INTAGE Healthcare Inc. (Headquarters: Chiyoda-ku, Tokyo; President: Keita Murai), and made it a wholly owned subsidiary in September 2024. As ArkMS is expected to take on a greater role in supporting the development of pharmaceuticals within the TSCS as a CRO, its qualitative importance has increased. Therefore, we have decided to include it as a consolidated subsidiary starting from the first quarter of the fiscal year ending March 2027.
