Target Healthcare Co., Ltd. (Headquarters: Kobe City, Representative Director: Tomoo Ozawa, hereinafter "Target Healthcare") and Nippon Yakushi Co., Ltd. (Headquarters: Kobe City, Representative Director: Naoto Doi, hereinafter "Nippon Yakushi") are pleased to announce that they have concluded a capital alliance agreement.

By collaborating, the two companies, both based in Kobe City, will accelerate the commercialization of "acquired immunity analysis business" and "application to animal drugs" based on memory B cell-derived antibody production technology, aiming to realize innovative Japanese-born healthcare and drug discovery solutions.

■ Background and Purpose of the Capital Alliance

Since its establishment in August 2020, Target Healthcare has been engaged in media business for animal hospitals, animal hospital support business (veterinary DX, cat economy-related businesses), M&A fund formation/management/investment business for hospitals and animal hospitals, as well as consulting business for hospitals, and medical-related service and product development business. It possesses a wide network and business development capabilities that support strengthening the management base of medical institutions.

On the other hand, Nippon Yakushi was established on March 27, 2025, based on human memory B cell-derived antibody production technology. It develops businesses that analyze the structure of human memory B cell-derived antibodies with AI and provide it as basic data for drug discovery to pharmaceutical companies, and businesses that explore new drug discovery targets from owned antibodies.

Through this capital alliance, Target Healthcare's medical institution network and business development capabilities will be combined with Nippon Yakushi's memory B cell-derived antibody production technology and data analysis infrastructure to develop new businesses.

■ New Business Entry ①: Acquired Immunity Analysis Business

The core business that both companies will undertake through this capital alliance is the "acquired immunity analysis business," which visualizes and reports antibody information acquired by humans in the past. Nippon Yakushi's proprietary technology comprehensively analyzes and digitizes individual immune memory (antibody production capability against previously encountered antigens) from a small blood sample.

The main areas of expansion for this business are as follows:

- For the affluent and wellness market: Individual immune memory report service through major department stores and private banks - For medical and research institutions: Provision of disease-related antigen/antibody exploration data, provision of drug discovery target candidate information - Provision of infectious disease risk information for overseas business travelers/expatriates/tourists

■ New Business Entry ②: Expansion into the Animal Pharmaceutical Field

Nippon Yakushi will utilize "zoonotic infection antibody data," which is being researched and developed for human medicine, to expand into animal drug/vaccine development.

Nippon Yakushi will acquire 7.8% of Target Healthcare's shares, and Getti Medico Co., Ltd., the parent company of Target Healthcare Co., Ltd., will hold 3.5% of Nippon Yakushi Co., Ltd.'s shares.
