### Fukuoka's Food Culture "Yamanaka" to the Next Generation

**Regarding the succession of the Miso Motsunabe originating brand**
OSAM Co., Ltd. (hereinafter "OSAM"), a group company of Osako Holdings Co., Ltd. (hereinafter "OHD"), hereby announces that it has acquired all shares of Yamanaka Co., Ltd. (hereinafter "Yamanaka") from an investment limited partnership operated by Fukuoka Capital Partners Co., Ltd. (hereinafter "FCP") and has succeeded to the business.

Yamanaka was founded in Ohashi, Minami-ku, Fukuoka City in 1984 and is one of Fukuoka's leading dining brands, widely known as the origin of Miso Motsunabe. The taste and spirit of hospitality passed down over many years continue to be supported by many customers. This transaction aims to inherit the company's journey, which has been supported by FCP to date, and connect its brand value and business foundation to the next stage.

### Background and Objectives of Succession

The OHD Group's important investment policy is to maintain and develop the value of regional companies and brands in the medium to long term through their succession. In view of Yamanaka's unique brand power and cultural value, this matter has been determined to be in line with that policy. This is a business succession aimed at reliably passing on the "taste" and "spirit of hospitality" built by the founder to the next generation, with the objective of continuing to protect its value as a locally rooted capital.

### Future Policy

Regarding future operations, we will continue with the conventional management system and store operations under Representative Director Masahiko Ono. No short-term policy changes are planned, and we will prioritize the stability of operations and maintenance of quality. In this matter, first and foremost, we will value the business foundation cultivated so far and prioritize stable business succession without forced expansion. On the other hand, we will provide full support to deliver Yamanaka's charm to more customers in the future.
