M&A has been rapidly expanding in recent years for various purposes such as business succession and growth strategies. The "White Paper on Small and Medium Enterprises in Japan" by the Small and Medium Enterprise Agency also shows that the number of M&A cases involving Japanese companies has been increasing year by year, continuously updating record highs. While M&A as a management strategy has become commonplace and the number of successful deals accumulates, it is also a fact that practical troubles and regrets, such as "the conditions assumed differed from the actual situation after the transfer" and "suffering disadvantages in receiving transfer consideration," have become apparent.

In response to this situation, the Company held a seminar last year on the theme of "pitfalls" hidden in M&A final contracts, which received positive feedback from participating business owners, such as "I gained new knowledge" and "I recognized the importance of contracts."

Based on this feedback, we decided to hold this seminar as the second part of a seminar discussing "pitfalls" in SME M&A legal affairs. To prevent M&A as a growth strategy from leading to "regret," we will delve deeper into practical aspects, explaining how to prepare for "structural risks" that can never be overturned later.
