Koyo Acquires Kataoka Seiki as a Wholly Owned Subsidiary

Koyo Co., Ltd. (HQ: Higashiosaka; Representative Director: Motoki Ishiwari, hereafter "Koyo"), a manufacturer of precision springs, announced that it has completed the acquisition of all shares of Kataoka Seiki Co., Ltd. (HQ: Higashiomi, Shiga; Representative Director: Hitoshi Kataoka, hereafter "Kataoka Seiki"), which specializes in the design and production of precision molds, primarily multi-forming molds, and the manufacture of thin plate springs, making it a wholly owned subsidiary. Koyo intends to leverage both companies' strengths to contribute to the advancement of the multi-forming industry.

Background and Purpose of the Acquisition

Koyo has focused its core business on the design and manufacture of precision springs, providing high-quality products to sectors such as water heaters, automobiles, electronic equipment, and medical devices. Kataoka Seiki, meanwhile, excels in the design and manufacture of high-precision, highly durable molds, providing advanced technical capabilities to the manufacturing industry both domestically and internationally.

In recent years, the manufacturing industry has faced increasing demands for higher precision, shorter delivery times, and improved cost competitiveness. In spring manufacturing, the construction of an integrated development and production system with mold technology has become increasingly important.

Against this backdrop, by making Kataoka Seiki a wholly owned subsidiary, Koyo will integrate their technical expertise to pursue the following initiatives:

- Establishing an integrated system from product design to mold production and mass production
- Shortening development lead times and strengthening cost competitiveness
- Creating high-value-added products to open new markets

Strengthening Collaboration with Vietnam Subsidiary

In 2025, Koyo and Kataoka Seiki jointly established a new company, "KOYO SPRING VIETNAM CO., LTD.," as a manufacturing and sales base in Vietnam. The company is positioned as a hub for the production and sales of precision springs and related parts, addressing the growing demand in the ASEAN region. It serves as the core of the global expansion that combines the technologies and know-how of both companies.

Through this acquisition, Koyo aims to advance its domestic development and production systems while further strengthening its overseas operations, centered on its Vietnam facility, to enhance competitiveness in the global market.
