## Notice Regarding Business Acquisition by Consolidated Subsidiary

Hybrid Technologies Co., Ltd. (the "Company") announces that the Board of Directors, at a meeting held on May 29, 2026, resolved that its consolidated subsidiary, Hybrid Tech Agent Co., Ltd. (hereinafter "Hybrid Tech Agent"), shall acquire the IT engineer staffing and SES business (hereinafter "the Target Business") currently operated by Symphonied Co., Ltd.

### 1. Purpose of the Business Acquisition

Since January 2026, the Company Group has restructured into three business domains—Development (Japan), Development (Overseas), and HR—to optimize management resources and accelerate decision-making. In line with this, the Group has been working to strengthen sales systems and diversify services across all segments. Hybrid Tech Agent, which will acquire the Target Business, operates within the HR domain, focusing on IT staffing and SES services.

By acquiring the strong customer and sales foundation cultivated by the Target Business and integrating its management resources into Hybrid Tech Agent, we aim to achieve further high growth and sustainable expansion in IT staffing and SES. The Target Business has achieved remarkable growth, with net sales reaching 55 million yen in the fiscal year ended March 2024, 196 million yen in the fiscal year ended March 2025, and 665 million yen in the fiscal year ended March 2026, demonstrating strong business momentum.

Specific synergies and growth strategies resulting from this acquisition are as follows:

- **Strengthening Project Acquisition and Sales Capabilities through Synergies**
By integrating the Target Business’s robust sales network with the Group's existing customer base, we will establish a stronger sales structure. This allows for proposals across a wider range of technical fields to both sets of customers, accelerating the acquisition speed of new projects and promoting the scaling and higher unit pricing of projects.

- **Maximizing Service Value through Expansion of Engineer Resources**
The addition of excellent engineers and partner networks from the Target Business to our Group will enable rapid and optimal cross-selling proposals to meet the diversifying and increasingly sophisticated needs of our customers. This will further solidify our service delivery system for existing customers.

Through this rapid integration of management resources, we will further accelerate the growth speed of the HR business domain, which is a key focus area, and solidify the enhancement of corporate value for the entire Group over the medium to long term.
