Tokyo, June 8, 2026 — GN Group Co., Ltd. (TSE: 2160, “the Company”) announced that it has entered into an agreement to acquire all shares of Ayumi Pharmaceutical Holdings Co., Ltd. (“Ayumi Pharmaceutical Holdings”) from shareholders led by Blackstone. The transaction values Ayumi Pharmaceutical Holdings at approximately 44.8 billion yen, and upon completion, the company will become a wholly owned subsidiary of GN Group.

This acquisition will significantly expand GN Group's sales base in Japan, establishing a large-scale pharmaceutical platform expected to accelerate the introduction of innovative drugs, biosimilars, and in-house developed products to the Japanese market.

For the fiscal year ended March 2026, Ayumi Pharmaceutical reported consolidated revenue of approximately 38.5 billion yen and operating profit of approximately 6.2 billion yen.
