3. Regarding the New Representative Director Appointment

Under the mission "Cars Connect, Work Changes," Cariot provides the vehicle management system "Cariot," supporting operational efficiency improvements for many companies across various industries. With over 400 companies adopting our system, we are entering a new growth phase aiming for further enhancement of service value and expansion of our business scale.

Eisuke Nakae, who has led our company's growth as the person in charge of business promotion, will now assume the position of President and CEO, transitioning to a structure focused on Cariot's management and business promotion. We will further deepen our collaboration with our investors, SORACOM Inc. and FLECT Co., Ltd., and accelerate service innovation utilizing IoT and AI technologies under a strong support system.

Furthermore, former representative Hironori Saito will continue to support the new structure as a Director and contribute to our company's sustained growth.

I am Eisuke Nakae, and I have been appointed President and CEO of Cariot Inc.

In recent years, the environment surrounding car-related operations has been changing significantly, with increased emphasis on compliance and reforms in driver working styles, demanding more advanced digitalization and efficiency.

By leveraging the latest technologies, we will further strengthen our existing business foundation and promote service development that not only improves daily operational efficiency but also directly contributes to our customers' business growth. We will continue to challenge ourselves to evolve "Cariot" as a team, aiming to solve societal issues and further advance our customers' success.

What is the Vehicle Management System "Cariot"?

"Cariot" is a system that enables real-time acquisition, visualization, and utilization of vehicle data simply by installing an in-vehicle device and launching a mobile app.

In addition to automatic creation of driving logs, smartphone-based alcohol checks, and a digital vehicle management ledger, it also includes the AI vehicle management portal "Cariot Copilot" as of April 2026. By simply instructing the AI via chat, such as "Identify underutilized vehicles and create an optimization report" or "Create feedback for the relevant driver based on last week's dangerous driving data," the AI instantly executes tasks from creating custom reports to generating personalized messages for each driver.
