(Headquarters: Minato-ku, Tokyo; Representative Director: Gen Matsuda; Securities Code: 8783), ReYuu Japan Co., Ltd. (Headquarters: Minato-ku, Tokyo; Representative Director: Takashi Shigetomi; Securities Code: 9425), Wintest Co., Ltd. (Headquarters: Yokohama City, Kanagawa Prefecture; Representative Director: Hui Jiang; Securities Code: 6721), and FD Co., Ltd. (Headquarters: Kariya City, Aichi Prefecture; Representative Director: Masashi Suzuki)—(hereinafter collectively referred to as "the five companies") for the establishment of a joint venture company, "AI Data Partners (provisional name)" (hereinafter "this JV"), aimed at developing and operating AI-specialized high-performance data centers (hereinafter "this Data Center") in Japan.
1. **Background and Purpose of Concluding this MOU**
Currently, with the rapid expansion of the generative AI and big data markets, the global demand for high-performance data center infrastructure to support massive computational processing is surging.
Particularly in Japan, securing advanced computing resources is an urgent issue from the perspectives of economic security and DX (Digital Transformation) promotion.
In this environment, the five companies, including our Company, aim to provide next-generation AI infrastructure through high-performance data centers by integrating their respective strengths (infrastructure development, AI solutions, precision equipment technology, data operations, etc.).
The establishment of this JV will accelerate the creation of new revenue bases and contribute to the development of Japan's generative AI market.
2. **Main Contents of the Basic Agreement and Business Scheme**
The five companies will establish this JV through joint investment by May 2026. This project is expected to develop into a business involving a considerable scale of investment in the medium to long term, and will be promoted under the following scheme:
* **Establishment of a Joint Venture**: The new company "AI Data Partners (provisional name)" will be at its core, and consideration will proceed including the possibility of participation by external investors and strategic partners.
* **Adoption of the SPC (Special Purpose Company) Method**: To ensure flexible fundraising and efficient asset utilization, a "business SPC" will be established for each project under this JV.
* **Investment and Operation Targets**: Project finance and other activities will be conducted mainly through these SPCs, with the goal of acquiring and operating data center businesses at approximately 10 locations nationwide. The plan aims for an IRR (Internal Rate of Return) of 6% or more.
