[VIA] Announcement of acquiring new shares from subsidiary VIATECH CO., LTD.''s capital increase

VIA Technologies announced the acquisition of new shares from its wholly-owned subsidiary, VIATECH CO., LTD., as part of a capital increase. The transaction involves 18,000,000 common shares of VIATECH CO., LTD. at a unit price of USD 1, totaling USD 18,000,000 (approximately NTD 545,040 thousand). The board of directors approved this transaction on May 6, 2026. This acquisition is for long-term investment purposes. Following this transaction, VIA Technologies'' total holding in VIATECH CO., LTD. will be 106,202,089 shares, valued at USD 106,202,089, maintaining a 100% ownership stake. This transaction represents 66.24% of the company''s total assets and 85.29% of the equity attributable to owners of the parent in the latest financial report.
