Gratz Automotive Holdings Reorganizes Jaguar Land Rover Authorized Retailer Organization.

Gratz Automotive Holdings Co., Ltd. has been operating Jaguar Land Rover authorized dealerships through BC Japan Co., Ltd. since acquiring the business from Jaguar Tokyo Co., Ltd. via business revitalization M&A in June 2021.

Now that sufficient results have been seen in its revitalization and value-up, we have entered into a business transfer agreement today, July 6, 2026, to transfer the three locations of BC Japan Co., Ltd. - Setagaya, Meguro, and Setagaya Service (Showa Island Plant) - to Willplus Enhance Co., Ltd., a subsidiary of Willplus Holdings Co., Ltd., effective August 17, 2026.

Furthermore, starting July 1, 2026, the three locations operated by BC Japan Co., Ltd. - Tokyo Bay Ariake, Suginami, and Tokyo Bay Ariake Service (Tatsumi Plant) - will be operated by Midlands Co., Ltd., a group company of Gratz Automotive Holdings Co., Ltd. and an authorized Jaguar Land Rover retailer.

This will make Midlands Co., Ltd. one of the largest retailers within the Jaguar Land Rover authorized retailer network, operating eight locations: Tokyo Bay Ariake, Suginami, Tokyo Bay Ariake Service (Tatsumi Plant), Yokohama, Approved Yokohama Bayside, Kashiwa, Mito, and Utsunomiya. The integrated operation of the Jaguar Land Rover business by Midlands Co., Ltd. will lead to more efficient operations, improved performance, and the delivery of the highest customer service and satisfaction than ever before.

The assets to be transferred in this matter represent less than one-fifth of total assets and are equivalent in scale to a simplified business transfer. The impact of this business transfer on our group's performance will be minor, with an expected increase in revenue of 10 billion yen year-on-year in fiscal year 2027.
