Fiducia Medical Completes Full Subsidiary Acquisition

Igalfan Inc. (Headquarters: Bunkyo-ku, Tokyo; President and CEO: Koji Shingai; hereinafter "Igalfan") has acquired the shares of Fiducia Medical Inc. (hereinafter "FM") held by Fiducia GrowthTech Investment Limited Partnership (Headquarters: Chuo-ku, Tokyo; Representative: Takumi Shibata; hereinafter "Fiducia") through an exchange for Igalfan's stock acquisition rights, and FM became a wholly-owned subsidiary on June 30, 2026. We are pleased to announce this.

1. Overview and Purpose of Acquisition

Igalfan is advancing the development of the world's first oral IgA antibody (immunoglobulin A) medicine to control and treat dysbiosis, an imbalance of gut microbiota, aiming to become a platform for the prevention and treatment of many diseases.

In November 2022, we licensed the exclusive rights in Japan for this IgA antibody to FM. To accelerate integrated domestic and international development through unified decision-making and optimal allocation of management resources, we made FM a wholly-owned subsidiary on June 30, 2026. On the same day, the license agreement between Igalfan and FM was mutually terminated, and Igalfan now holds the exclusive global license rights. Moving forward, we will accelerate development by focusing on determining the IgA antibody-producing cell line, establishing large-scale manufacturing methods, enhancing necessary company functions, and acquiring talent.

2. About Igalfan Inc.

Igalfan was established in April 2022 with the purpose of "contributing to the well-being of the planet and humanity through the realization of a healthy symbiotic relationship between hosts, including humans, and gut microbiota." The company aims to commercialize research results related to IgA antibodies and other substances by Professor Reiko Shinzou of the Department of Immunology and Infectious Diseases, Institute for Quantitative Biosciences, The University of Tokyo. In particular, the rW27 pentameric IgA antibody invented by Professor Shinzou (hereinafter "this antibody") is our main development target, and it is an antibody that acts on and controls the gut microbiota.

Dysbiosis, a state where beneficial bacteria decrease and harmful bacteria increase, disrupting the balance of gut microbiota, has been found to be related to a wide range of diseases. This antibody suppresses the proliferation of harmful bacteria in the gut without killing them, while maintaining and promoting the growth of beneficial bacteria. By controlling bacteria with bacteria, it is expected to restore the balance of gut microbiota, fundamentally correct dysbiosis, and be applicable to many related diseases.

In relation to this antibody, we hold global exclusive license rights for over 10 patents, including already established patents (3 substance patents, 2 manufacturing method patents, 6 use patents). By efficiently manufacturing pentameric IgA antibodies using our proprietary manufacturing method patent (registered in Japan), we are advancing the development of the world's first oral medicine using this antibody to control and improve gut microbiota.
