Smart Solar Co., Ltd. (Headquarters: Kisarazu City, Chiba Prefecture, Representative Director: Hirofumi Tezuka, hereinafter "Smart Solar") and Asia Gateway Co., Ltd. (Headquarters: Chiyoda-ku, Tokyo, Representative Director: Tomonori Kimura, hereinafter "AG") have concluded a business alliance agreement with the aim of jointly promoting project development and introduction proposals in domestic and international markets, including solar power generation systems, battery energy storage systems (BESS), PCS, energy management systems (EMS), distributed energy resource management systems (DERMS), etc., developed and provided by Smart Solar, as well as future integration with green hydrogen and green ammonia related systems. Through this alliance, both companies will jointly promote the formation of next-generation decarbonized infrastructure projects, introduction proposals, and commercialization support both domestically and internationally.

Background of the Alliance While the global introduction of renewable energy is accelerating, there is a growing need for integrated energy systems for stabilizing power grids, adjusting supply and demand with batteries, procuring decarbonized electricity for companies, increasing power demand from data centers, and manufacturing and utilizing green hydrogen and green ammonia.

Particularly, AI data centers are expected to diversify into local infrastructures distributed across countries, regions, companies, and applications, in addition to conventional large-scale, centralized hyperscale facilities. For these facilities, stable and low-carbon power supply, battery backup, maximization of renewable energy ratio, and visualization of environmental value corresponding to 24/7 CFE are crucial.

Furthermore, with Oman joining in April 2026, the Joint Crediting Mechanism (JCM) has expanded to 32 partner countries (as of April 2026). Both companies view these market and institutional changes as business opportunities and aim to expand into Japan, the 32 JCM partner countries, and other growth markets through this alliance.

Strengths and Roles of Both Companies Through this alliance, by combining Smart Solar's technologies and product groups with AG's environmental value, financial value, and international development functions, both companies aim to deploy renewable energy facilities as decarbonized infrastructure assets that generate environmental and business value.

The main roles of both companies are as follows: - Smart Solar (Hardware, Control, Implementation Capability): Leveraging its design and implementation capabilities for PV, BESS, PCS, EMS/DERMS, energy management technology, and integrated operation know-how for equipment and control, Smart Solar will be responsible for the hardware and control technology of decarbonized power infrastructure. Emphasizing the quality and reliability required in the Japanese market, it will provide highly implementable solutions in grid-scale battery storage, industrial self-consumption solar, microgrids, and distributed power generation fields. - AG (Environmental Value, Financial Value, International Development): Leveraging its functions in JCM, carbon credits, EAC, 24/7 CFE, digital MRV (dMRV), GIPP, financing support, and international project development, AG will be responsible for designing environmental value, financial value, and international expansion. Its strength lies in platform-type business development that integrates collaboration with local governments, financial institutions, and business partners. - Synergy of Both Companies: By combining technology, environmental value, finance, and international markets, both companies will expand renewable energy facilities not merely as power supply equipment, but as decarbonized infrastructure assets that generate environmental and business value.

Key Areas of Joint Effort Both companies will jointly pursue project development, business scheme construction, financing, environmental value design, and local partner collaboration in the following areas:

1. Grid-scale battery storage business in Japan: Smart Solar's BESS and EMS/DERMS technologies will be combined with AG's business development, financing, and environmental value design functions to jointly form projects for grid-scale battery storage, considering spot markets, supply-demand adjustment markets, and capacity markets.

2. PV, BESS, EMS/DERMS deployment in 32 JCM partner countries: Proposals for introducing renewable energy, battery storage, and control systems will be advanced in 32 JCM partner countries (as of April 2026), including Cambodia, Vietnam, Mongolia, Indonesia, the Philippines, India, and Oman, and efforts will be made to correspond to certification and digital MRV for creating environmental value such as JCM credits.

3. Expansion into global markets outside JCM: Beyond JCM target countries, both companies aim to deploy their integrated solutions to countries and regions with increasing demand for renewable energy, battery storage, microgrids, industrial power, data centers, and green hydrogen/ammonia.

4. Green hydrogen/ammonia sector: In the future, based on low-carbon power supply from PV and BESS, the companies will consider the possibility of integrating with related systems such as water electrolyzers and ammonia synthesis equipment to form projects.

5. Local decarbonized power infrastructure for AI data centers: For local decarbonized power infrastructure that is being decentralized by country, region, company, and application.
